WEBSITE DESIGN & CARE

Service Agreement

Version: November 4, 2026 · Revision 2

One standard agreement for our website plans, ongoing care, and separately agreed services. Your signed order identifies what you are purchasing.

These standard terms cover website design, hosting, maintenance, and related services purchased from Professional HVAC Websites LLC (“we,” “us,” or “Provider”). The business identified in the accepted service order is the “Customer” or “you.”

1. How this agreement applies

These terms apply when both parties sign a service order or proposal that expressly incorporates this agreement and identifies this version. Together, that order and these terms form the agreement for the purchase. Each additional purchase must be covered by an accepted order or a written change approved by both parties; it does not automatically restart a development commitment.

Your order identifies your business, selected services and payment plan, website domain, scope, billing dates, and project-specific details. A project-specific term takes priority only if the order expressly identifies and changes the corresponding term here. Otherwise these standard terms apply.

Viewing this website, selecting a pricing preference, or sending an inquiry does not accept the agreement, place an order, authorize payment, or start services. We provide a copy of the incorporated terms with the order so both parties can keep the version they accepted. This page does not collect signatures or payments.

2. Website services

Both standard website payment options include:

Your order specifies the included pages, functionality, content responsibilities, revision process, and project-specific support arrangements. The minor-update and form-testing policies in Section 9 apply to both standard website plans. Services not included in the accepted order are not assumed to be included. Additional pages, redesigns, integrations, or other extra work require your written approval of scope and price before we start.

3. Payment options

Only the option selected in your order applies to your website purchase. Both standard options provide the same stated website features and care.

Pay Monthly

$0 down. $229/month for 12 months, then $99/month for hosting and maintenance after the first year. The first $229 installment due at website launch and subsequent installments due monthly on the agreed billing date, for 12 installments. Each installment consists of $130 toward development and $99 for hosting and care. The development total is $1,560, and the listed first-year plan total is $2,748. After the 12 development installments are paid, ongoing hosting and care is $99 per month. Early cancellation is covered in Section 6.

Pay Upfront

$1,500 one-time for development, due before work starts, plus $99 per month for hosting and care beginning at website launch. This option has no 12-month development-installment requirement. Development plus 12 months of listed care charges totals $2,688. Cancellation of care does not create a new development balance when the build is already fully paid.

Other agreed services

For separately purchased work, the accepted order or change approval identifies the work, price, payment schedule, and any purchase-specific cancellation terms. The 12-installment website balance applies only to the Pay Monthly website plan; it is not automatically applied to every purchase or add-on.

4. Billing and additional costs

The upfront development fee is due before work begins. Pay Monthly installments and the upfront plan’s hosting/care charges begin at launch; there are no hosting/care charges before launch under either standard plan. Your order records the actual launch/billing date, subsequent monthly renewal dates, and payment arrangements. Recurring-payment authorization, where used, must be obtained separately through the agreed payment method; this webpage does not supply it.

You register and renew your domain directly with your registrar, using your own account and paying the registrar’s charges separately from our plan prices. Applicable taxes and any other third-party costs must be disclosed before agreement. No undisclosed setup, cancellation, or standard file-handoff fees apply. We will not begin work with unresolved prices or charge for additional work without written approval.

5. Content, approvals, and timing

You provide accurate business information and the materials, approvals, and access assigned to you in the order. Each party must have permission to use material it supplies. We use delegated account access where practical; your domain remains yours.

A target timeline is agreed for each project after reviewing the scope and required customer content, and recorded in the order. Changes in content, scope, or availability of feedback may require an agreed schedule adjustment. We discuss material changes with you rather than assume approval. You review and approve the website and contact details before public launch, and we test the agreed contact paths.

6. Cancellation and development balance

Email professionalhvacwebsites@gmail.com to request cancellation before the next renewal. We acknowledge support and cancellation requests within two business days, Monday–Friday excluding holidays, and confirm the final balance, handoff arrangements, and service end date in writing. A remaining development balance is payable within 14 calendar days of the final invoice; standard file handoff follows settlement of the applicable balances. Cancellation amounts remain subject to the agreed scope and any rights or remedies that applicable law does not allow the parties to waive.

Pay Monthly: cancellation after launch

If you cancel before all 12 development installments are paid, the remaining development balance becomes due: $1,560 minus development payments already credited. Each fully paid $229 installment credits $130 toward development. If only whole installments have been paid, this equals $130 multiplied by the number of unpaid development installments.

For example, after six fully paid installments, the remaining development balance is $780. Unpaid hosting and care charges already incurred are separate. We do not count development payments twice, add a separate cancellation penalty, or charge for future unused hosting and care.

Cancellation before launch

Before work starts, the order records three development milestones and their values:

Only completed milestones are charged. An unfinished milestone carries no charge; we do not charge a partial percentage for it. The total is capped at the selected development price: $1,560 for Pay Monthly or $1,500 for Pay Upfront. Development payments already made are credited in full, with no double-counting. We refund any amount paid above the completed-milestone charges within 10 business days after confirming cancellation and which milestones are complete. Any remaining development balance is due within 14 calendar days of the final invoice.

The order defines the deliverables and how each milestone’s completion is documented before work begins. When cancellation occurs before completion, settled work is handed over in its current state rather than as a completed website. This cancellation calculation does not remove non-waivable rights or remedies for a failure to perform.

Hosting and care

The upfront plan’s care service is month to month. After the initial monthly build term, the monthly plan continues month to month at $99. On cancellation, care ends at the end of the current paid service period, with no further care charges after that date. Any unpaid development balance is handled separately. A later paid end date or additional migration work requires written agreement.

7. Domain and website ownership

You own your domain throughout the project. Your existing trademarks, logo, photos, and supplied content remain yours or your licensors’ property.

Under the signed order incorporating this agreement, we assign to you our ownership rights in the custom website work created specifically for your project once the applicable development balance is fully paid. For a completed upfront project, this occurs after development payment and completion; for Pay Monthly, after all development installments or the applicable early-exit balance are paid. After pre-launch cancellation, the assignment covers the settled custom work actually produced.

Our pre-existing tools and reusable components are not assigned. To the extent we own such components and embed them in the delivered website, we grant you a continuing, nonexclusive license to use and modify them as part of that website and permit your replacement provider to maintain it. This does not grant a right to resell our reusable components separately. Third-party software, photos, fonts, and other assets retain their own license terms. We identify nontransferable dependencies and any required replacement licenses before handoff.

8. Standard handoff

Once the applicable development balance and outstanding service charges are settled, we provide the completed custom website files, transferable assets, and setup notes. Following cancellation before completion, we supply the settled work as it stands. The standard file handoff has no additional fee.

We coordinate the recipient, delivery method, and hosting end date with you. Your new provider handles installation, replacement hosting, and future upkeep. Additional migration, redevelopment, or support beyond the standard handoff requires a separate agreed scope and price. Unrelated provider accounts, other customers’ information, and nontransferable services are not included.

Your domain is not held as security for payment. We confirm file delivery and the agreed service end date in writing so you can arrange replacement hosting.

9. Care, updates, and service limitations

Care includes hosting, technical maintenance, contact form delivery testing after form-related changes, and up to 30 minutes of minor updates per monthly service period. Minor updates cover small text edits, photo swaps, and contact-detail changes. Unused time expires at the end of the period and does not roll over. New pages, redesigns, and work beyond the included allowance require a separately approved scope and quote. Initial build revisions and ongoing monthly updates are separate allowances.

We acknowledge support requests within two business days, Monday–Friday excluding holidays. This is an acknowledgment target, not a promise that every issue will be resolved within two business days. We discuss the work and expected next steps after reviewing the request.

After form-related changes, we test delivery by submitting a test inquiry and confirming receipt in the designated inbox, coordinating with you where necessary. No scheduled recurring form testing or continuous form monitoring is included. Please notify us if you suspect a form or delivery problem.

Basic SEO and professional design do not guarantee rankings, traffic, calls, sales, or continuous availability. Hosting, email, domain, and connectivity providers can affect availability and delivery. We discuss reported issues and the appropriate next steps with you. Resolution times depend on the issue and any third-party dependencies; no additional service-level promise is made unless expressly agreed in the order.

10. Information and access

Both parties share only information and access needed for the services. You approve the receiving destination for your website’s contact forms and are responsible for your business’s privacy notices and handling of homeowner inquiries. Our marketing-site Privacy Policy is not automatically your website’s privacy policy.

The order documents relevant provider access, processing responsibilities, and project data return/deletion needs. Do not send passwords or sensitive payment information through a public contact form. Our own inquiry handling is described in our Privacy Policy.

11. Changes and resolving questions

Material changes to the scope, price, or agreement require written approval by both parties. Contact us promptly about a service issue or disputed charge so we can document the concern and proposed resolution. Nothing here makes a disputed charge automatically valid or removes non-waivable remedies for a failure to perform.

Changes to this website do not automatically change a previously accepted agreement. New orders identify the version they incorporate, and changes to an existing order require the parties’ written agreement.
